Public Offer and Terms of Sale, Ordering and Delivery — UHU-EL
These Public Offer and Terms of Sale (the “Offer” or “Agreement”) govern orders, purchases, payments, deliveries, exchanges and returns of goods offered by the UHU-EL online store at uhu-el.com.ua. The seller is [full registered legal name or sole proprietor's name], registration number [enter registration number], registered address [enter legal address] (the “Seller”). Email for formal notices: [enter Seller's email address].
This Agreement is drafted with reference to Ukrainian civil law, electronic-commerce law and consumer-protection legislation. Nothing in it limits mandatory consumer rights under applicable law. The Seller confirms an order by an electronic notification or another agreed communication method.
1. Definitions
1.1. Offer means the Seller's proposal to enter into a distance sales agreement on the terms set out here.
1.2. Goods are the products listed in the store, including fishing rods, reels, lures, tackle, tools, apparel and other items.
1.3. Online Store means uhu-el.com.ua, through which product information is provided and orders are placed.
1.4. Buyer means an individual legally entitled to enter into a purchase agreement, or a company or sole trader purchasing Goods. Statutory consumer rights apply where the relevant law defines the Buyer as a consumer.
1.5. Order means a request to buy specified Goods showing their quantity and price together with contact and shipping details.
1.6. Recipient means a person designated to receive the shipment. This may be someone other than the Buyer.
2. Subject matter and formation of the Agreement
2.1. The Seller agrees to supply the Goods specified in the confirmed Order, and the Buyer agrees to pay for and accept them in accordance with this Agreement.
2.2. Product descriptions, specifications, availability and prices on the website provide information for selecting Goods. The final contents and amount of an Order are confirmed during the order process.
2.3. Before submitting an Order, the Buyer can review these Terms and communicates acceptance by taking the affirmative action specified at checkout. The Agreement is formed when the necessary acceptance and confirmation have occurred in accordance with applicable law.
2.4. The Seller notifies the Buyer when an Order is accepted or requires clarification. Unavailable items or changes to the Order are handled with the Buyer's agreement; any prepayment for a cancelled item is refunded as required by law.
3. Placing an Order
3.1. Orders can be submitted through the website checkout or using the methods shown on the contact page.
3.2. Information needed to fulfil an Order may include the Buyer's name, telephone number, email address, delivery location or collection point, payment choice, and Recipient details. Business identifiers and international shipping documents are requested only where relevant.
3.3. Where the Buyer selects the option indicating that the Recipient is another person, the Buyer must provide accurate information and have a lawful basis for sharing it. The Seller may request clarification before dispatch.
3.4. Buyers should review product names, quantities, specifications and the final amount before placing an Order. The Seller may contact the Buyer about missing or inaccurate information without restricting statutory rights.
3.5. For orders placed with an agent, agreed terms will be communicated in a form that can be saved or reproduced where required by applicable law.
4. Prices, payment and delivery
4.1. Prices are displayed on the website. Ukrainian domestic sales are priced in Ukrainian hryvnia (UAH). Any VAT treatment depends on the Seller's actual tax status and law. If another currency is displayed, the currency and payment terms applicable to the transaction will be made clear before the Order is confirmed.
4.2. Available payment methods, applicable payment-service charges and the final price are communicated during checkout and through the shipping and payment information. Any mandatory additional charges payable by the Buyer should be disclosed before the Order is submitted.
4.3. A change in the website catalogue price does not permit the Seller to increase an already agreed and paid Order price unilaterally except where the law expressly allows it.
4.4. Delivery within Ukraine is available by the carriers and services offered during checkout. Price and estimated time depend on the destination, size, weight and current service rates. Whether shipping is paid to the carrier or to the store depends on the chosen method.
4.5. International shipping. UHU-EL offers international shipping to destinations available for the particular Order. Eligible countries, permitted products, rates and time estimates depend on carrier services, export rules and customs restrictions and must be confirmed for the shipment.
4.6. Cross-border orders may attract import duties, local taxes, customs clearance fees or bank charges. Unless expressly included in the agreed checkout total or otherwise required by mandatory law, such destination-country charges are not included in the Goods or shipping price and may be payable by the Recipient. Buyers should check the import rules of the destination country.
4.7. Where available, the Seller provides dispatch details and a tracking number. Estimated delivery times are not an unconditional guarantee of delivery on a particular date unless a binding delivery date has been specifically agreed.
4.8. The Recipient is encouraged to inspect the outer packaging, completeness and obvious damage on delivery and to report problems to the carrier and the Seller. Failure to inspect the Goods at the point of delivery does not by itself remove statutory consumer rights.
4.9. Ownership and the risk of accidental loss or damage transfer under applicable law and the agreed delivery arrangements. Nothing in this Agreement improperly transfers to consumers liability that legally remains with the Seller or a carrier.
5. Rights and obligations of the Parties
5.1. The Seller shall: provide accurate material product information; perform confirmed Orders; issue records required by law; consider warranty, exchange and return requests; and protect personal information as required by law.
5.2. The Seller may: clarify Order details; propose a substitute only with the Buyer's agreement; and suspend shipment for justified safety or legal reasons, giving appropriate notice and refunding amounts due for undelivered Goods.
5.3. The Buyer shall: provide accurate contact and delivery details, pay for the Order, comply with applicable import requirements for international shipments and use Goods appropriately.
5.4. The Buyer may: receive the agreed Goods and information about payment and delivery, and exercise any applicable rights concerning returns, defective Goods, warranties and personal information.
6. Exchanges, returns and warranties
6.1. Consumers have statutory rights to exchange or return qualifying Goods. In Ukraine, a 14-day period generally applies, subject to the specific rules for distance sales, statutory exclusions and any more generous return period the Seller has expressly offered.
6.2. Returns or exchanges of Goods of satisfactory quality are subject to applicable legal requirements, including rules on use, condition and retained consumer properties. Exceptions for particular product categories apply only where the law permits them.
6.3. If Goods are defective or fail to match agreed specifications, the Buyer may exercise remedies available under applicable law, taking account of the nature of the defect and relevant warranty terms.
6.4. The timing and method of refunds depend on the applicable legal basis for the return. For relevant rescissions under Article 9 of Ukraine's 1991 Consumer Protection Law, the refund is due on the rescission date or, if that is impossible, within a period agreed with the consumer, not exceeding seven days. Separate statutory rules may apply to distance contracts and international consumers.
6.5. Return shipping costs for Goods of satisfactory quality depend on applicable law and the terms disclosed before purchase. Where Goods are defective or the Seller has breached the Agreement, costs are allocated as required by law; they are not automatically the Buyer's responsibility.
6.6. Instructions for requesting a return are provided on the warranty and returns page. Before posting items back, ask the Seller through the contact page to confirm the correct return address and recipient details.
6.7. International returns. Return shipping availability, customs procedures and costs vary with the destination, reason for return and mandatory law. These Terms do not waive mandatory rights applicable to consumers in their countries.
7. Liability and force majeure
7.1. Each Party is responsible for a breach of the Agreement as provided by law. The Seller does not exclude any liability that cannot lawfully be limited or excluded.
7.2. Where inaccurate shipping information supplied by the Buyer causes a problem, the Parties will discuss reasonable corrections and proven additional costs. The Seller is not liable to the extent it establishes that the loss was directly caused by the Buyer's error without fault on the Seller's part.
7.3. War, natural disasters, government restrictions, major logistics disruptions or other extraordinary events may qualify as force majeure only if the legal requirements are met and the relevant event actually prevents performance of an obligation. The mere occurrence of such an event does not automatically discharge contractual duties.
7.4. An affected Party shall inform the other within a reasonable time and take reasonable steps to limit the consequences. Payments for obligations that cannot be performed are refunded where the law requires.
8. Privacy and personal data
8.1. Buyer and Recipient data are used to process and perform Orders, receive payments, arrange delivery, address enquiries and meet the Seller's legal obligations. The lawful basis for processing depends on applicable data-protection law; ordering is not unlimited consent to all future data use.
8.2. Necessary details may be shared with payment providers, carriers and customs authorities, including for international delivery. Separate rules and consent, where required, apply to marketing and optional tracking.
8.3. More information about data use, storage and user rights is available in the UHU-EL Privacy Policy.
9. Governing law, disputes and changes
9.1. The Agreement is governed by Ukrainian law. This choice does not deprive international consumers of the protection of mandatory rules of law that apply to their purchases.
9.2. The Parties should first try to resolve complaints directly with the Seller. If no resolution is reached, disputes may be submitted to the appropriate authority or court under applicable law; any mandatory consumer jurisdiction rules are preserved.
9.3. The Seller may publish new versions of this Offer. New terms apply to orders placed after publication, while changes to existing agreements require the Parties' agreement or another lawful basis.
9.4. If one provision is found invalid, the remaining provisions will continue to apply to the extent permitted by law.
9.5. The Ukrainian text is the reference version for interpretation to the extent allowed by law. Russian and English versions are provided for convenience. Mandatory consumer and language rights remain unaffected.
